Jeremy Reifsnyder, Senior Advisor, provides litigation support to leading U.S. law firms and their clients. He is an expert at evaluating the risk of, underwriting the credit of, structuring, and pricing transactions involving corporate credit and asset backed risks. For over thirty-five years he has been engaged in and acted as a consultant to the financial services industry in the areas of corporate and structured finance, securitization, credit derivatives, and financial guaranty insurance. His expertise extends across credit risk analysis; due diligence standards for debt and credit facilities; structure, pricing, terms and documentation of bank credit and loan facilities; securitization of financial assets in cash markets and synthetic form (credit derivatives); guarantees of corporate credit (bonds, loans, and commercial paper); financial guaranty insurance (“bond insurance”); arm’s length pricing (transfer pricing) on financial transactions between related parties; administration and servicing of loan portfolios; and rating agency ratings of corporate and structured finance debt. In his career, he has negotiated personally or directed the closing of over $35 billion in corporate and structured financing transactions in the United States, Canada, and other countries in Europe, the Middle East, Africa, Latin America, and Asia.
Mr. Reifsnyder has worked with clients in many industries, including airlines, automobile manufacture and supply, communications and entertainment, defense, banking and financial services, consumer products, energy, heavy equipment manufacture, healthcare, homebuilding and mortgage banking, industrial products, information technology, retailing, services, and public utilities. He has provided secured and unsecured full and limited recourse financing, financial services, and financial advice to companies of all sizes, including startup companies, middle-market companies, and major multinational enterprises in the U.S. and other countries.
Mr. Reifsnyder is Partner and Chief Financial Officer of Clearhaven Capital, a non-bank finance company working with private equity funds on financing solutions to improve the efficiency and flexibility of fund structures. The objective is to address the inherent limitations of closed-end fund structures while also enhancing returns (both IRRs and multiples) and limiting financial risk. As President of TLD Partners LLC, he provides consulting services and advice to CEO’s and boards of directors, leading international law firms, hedge funds and banks. Representative consulting assignments have included: advising new ventures in the renewable energy sector on corporate development, financial management, and equity and debt financing and evaluating as an expert the pricing and credit risk of asset securitizations and derivative contracts.
Before forming TLD Partners LLC, Mr. Reifsnyder was Senior Managing Director at Bear Stearns Asset Management Inc. Previously, in leadership positions at banks, securities firms, and insurance companies (including Deutsche Bank AG, MBIA Insurance Corporation, and Société Générale), Mr. Reifsnyder created and turned around strategic business units, pioneered new markets and financing transactions in the U.S. and in global markets, and developed highly successful client relationships.
Representative litigation support assignments have included:
- Valuing the benefit to be derived from improved servicing practices to be employed in over 300 separate securitizations of residential mortgage loans
- Analyzing and opining on pre-closing due diligence practices and procedures employed by underwriters and the subsequent performance of more than 20 separate securitizations of residential mortgage loans
- Opining on the commercially reasonable manner in which to interpret indenture provisions governing the release of a parent company guarantee of subsidiary company debt
- Advising as to whether the risk evaluation and due diligence practices performed by an investor in asset-backed commercial paper were within market standards for such practices
- Opining on the price that would have been paid, had the parties been acting at arm’s length, for corporate debt guarantees provided by affiliated parties
Education and Industry Involvement
A frequent speaker on risk management, structured finance, and recent credit market developments at financial conferences, he also has served on the leadership team of industry associations and worked with government and regulatory bodies. Mr. Reifsnyder holds an M.B.A. in Finance from the Wharton School of the University of Pennsylvania, an M.A. in East Asian Studies from Harvard University, and a B.A. in Political Science from Columbia University. His languages are Chinese, French, and Japanese.
